1. The Client shall pay additional costs and shall bear the risks of delay in the event that the Client requires that the Services be supplied at a different location than originally agreed or otherwise changes the instructions originally given to the Company.

2. If for whatever reason the Client cancels the order, the Client shall pay to the Company a portion of the agreed fee corresponding to the Services actually carried out by the Company prior to the cancellation of the order. Should such termination occur after the Company has placed an order with a contractor or third party, then the Client shall fully indemnify the Company for the related expenses.

The Company shall be entitled to immediately and without liability either suspend or terminate provision of the services in the event of:

• Failure by the Client to comply with any of its obligations hereunder and such failure is not remedied within 10 days that notice of such failure has been notified to the Client; or
• Any suspension of payment, arrangement with creditors, bankruptcy, insolvency, receivership or cessation of business by the Client.
